Osgood Textiles Ltd was established in 1964. We specialize in babies' and children’s woven and knitted garments. We have 4 joint venture factories in China and due to this strong production base, we sell our products worldwide to department stores, multiple store groups, wholesalers and independent retailers. We also have associate factories in Vietnam, India, Thailand and Cambodia
We have 3 different divisions to the company:
Contract
We design and manufacture for most of the leading store groups in the UK, Europe and US. Our client list has included companies like Dunnes stores, Adams, TK Maxx, TJ Hughes, Seppala, Penneys, Sonae, Walmart (Canada), HBC group, Metro and many more.
Our ranges comprise of everything from basics to gift sets, including rompers, 3-piece sets, playwear, sleepwear, formalwear, snowsuits, jackets and knitwear. We specialise in fashionable babywear and we pride ourselves on our flexibility for our contract customers. Our company mission is to offer peace of mind to our customers. We provide high quality products at competitive prices with the knowledge that all orders will be delivered on time and in perfect condition.
1) Quality control- We provide a strong merchandising team to follow up all order details and market requirements. Our QC teams are focused on ensuring that our products adhere to the quality standards and safety requirements of our customers, no matter how stringent they may be. We provide excellent technical support to our customers to solve their sourcing requirements and we are fully flexible to our clients needs.
Since we have been making babies' clothes for over 40 years, we understand that it is essential that all our garments are checked so that nothing can hurt the little ones. That’s why we have put in place standardised broken needle policies, and installed needle detectors in all our factories.
2) Child labour- We have checked and signed agreements with all our joint venture partners to ensure that no under-age labour is used. All workers must be a minimum of 18 years old. Our ethical polices dictate that any branch factory found to be using under-age employees will be immediately terminated and all orders cancelled.
3) Worker facilities- We pride ourselves on our ongoing commitment to benefiting the lives of our workers. Since we have entered into the joint ventures, all salaries have been increased, living and working conditions have improved dramatically and facilities offered to our workers have been expanded to include on-site medical facilities, library, cinema room and gymnasium.
4) Environmental- As an environmentally-aware organisation, we are committed to reducing our packaging and we try to ensure that our components are bio-degradable. For this reason we do not use plastic strapping on our cartons.
Wholesale
We produce about 300 designs per season for our wholesale accounts to buy either forward or from stock. We wholesale our products in over 25 countries and we are expanding our international presence every year. All our ranges are exclusively designed by our team of designers. They focus on making fun and fashionable babies' and children’s clothing that is both practical for mum and comfortable to wear. As such, we have earned a reputation for quality and innovative styling that has kept this company in the forefront of fashion for over 40 years
Independent Retail
This site was launched in order to help our European independent retail accounts source more competitively and with greater ease. They can access all our products with full descriptions and colourways. We have over 300 independent retail accounts worldwide and it illustrates our flexibility that we can serve both large multiples and boutiques at the same time.

Adequate steps shall be taken to prevent accidents and injury to health arising out of, associated with, or occurring in the course of work, by minimising, so far as is reasonably practicable, the causes of hazards inherent in the working environment. |
| 3.2 | Workers shall receive regular and recorded health and safety training, and such training shall be repeated for new or reassigned workers. |
| 3.3 | Access to clean toilet facilities and to potable water, and, if appropriate, sanitary facilities for food storage shall be provided. |
| 3.4 | Accommodation, where provided, shall be clean, safe, and meet the basic needs of the workers. |
| 3.5 | The company observing the code shall assign responsibility for health and safety to a senior management representative. |
| 4 | CHILD LABOUR SHALL NOT BE USED |
| 4.1 | There shall be no recruitment of child labour. |
| 4.2 | Companies shall develop or participate in and contribute to policies and programmes which provide for the transition of any child found to be performing child labour to enable her or him to attend and remain in quality education until no longer a child; |
| 4.3 | Children and young persons under 18 shall not be employed at night or in hazardous conditions. |
| 4.4 | These policies and procedures shall conform to the provisions of the relevant ILO standards. |
| 5 | LIVING WAGES ARE PAID |
| 5.1 | Wages and benefits paid for a standard working week meet, at a minimum, national legal standards or industry benchmark standards, whichever is higher. In any event wages should always be enough to meet basic needs and to provide some discretionary income. |
| 5.2 | All workers shall be provided with written and understandable Information about their employment conditions in respect to wages before they enter employment and about the particulars of their wages for the pay period concerned each time that they are paid. |
| 5.3 | Deductions from wages as a disciplinary measure shall not be permitted nor shall any deductions from wages not provided for by national law be permitted without the expressed permission of the worker concerned. All disciplinary measures should be recorded. |
| 6 | WORKING HOURS ARE NOT EXCESSIVE |
| 6.1 | Working hours comply with national laws and benchmark industry standards, whichever affords greater protection. |
| 6.2 | In any event, workers shall not on a regular basis be required to work in excess of 48 hours per week and shall be provided with at least one day off for every 7 day period on average. Overtime shall be voluntary, shall not exceed 12 hours per week, shall not be demanded on a regular basis and shall always be compensated at a premium rate. |
| 7 | NO DISCRIMINATION IS PRACTISED |
| 7.1 | There is no discrimination in hiring, compensation, access to training, promotion, termination or retirement based on race, caste, national origin, religion, age, disability, gender, marital status, sexual orientation, union membership or political affiliation. |
| 8 | REGULAR EMPLOYMENT IS PROVIDED |
| 8.1 | To every extent possible work performed must be on the basis of recognised employment relationship established through national law and practice. |
| 8.2 | Obligations to employees under labour or social security laws and regulations arising from the regular employment relationship shall not be avoided through the use of labour-only contracting, sub- contracting, or home-working arrangements, or through apprenticeship schemes where there is no real intent to impart skills or provide regular employment, nor shall any such obligations be avoided through the excessive use of fixed-term contracts of employment. |

Osgood Environmental Policy
We are fully committed to protecting our customers, the people making our products, and the environment.
The impact of our activities upon the environment will be managed by:

Environmental considerations will form an integral part of our core business values, alongside our commitments to social responsibility, quality, safety, and value.
Raw Materials
Raw materials include the many different types of wood, metal, fibre, and chemicals from which our products are made. Some of these are sustainable if existing supplies are carefully managed, while other non-renewable materials must be used in the most efficient way possible, in order to ensure long term availability.
Sustainability
As one of our most important raw materials, we will ensure that wood products are manufactured from timber harvested from forests that are managed (sustainable).
We will support the development, wherever technically and economically feasible, of new, more sustainable materials. Products will be designed and developed to optimise the use of raw materials.
Risky/hazardous materials
Where scientific or consumer concern demands it, we will seek to phase out the use of materials that may pose an unacceptable risk to our customers, the people making our products, or the environment.
Where hazardous substances are used, we will seek to ensure that they are used in a safe and controlled way, and that processes and procedures comply with relevant national regulations.
Packaging
Packaging includes any wrapping, boxes, or containers used to protect products from damage during transportation, storage and handling. It also provides the means for products to be effectively displayed in store, and for important safety information to be communicated to the customer.
We will endeavour to use recycled packaging materials wherever possible. Packaging will be designed so that material usage is minimised, without compromising product integrity.
Care Instructions for Children's clothing
We want every garment we make to look as good and last as long as your child is wearing them. If the instructions on the care labels are followed, then the quality and appearance of the garment will be maintained.
Washing
The washtub symbol indicates the domestic washing process. The two variables in the washing process are:
* Water temperature - indicated by degrees Celsius inside the tub.
* Spinning - indicated by the use of a bar or broken bar underneath the tub.

| 2 | Delivery |
| 2.1 | All delivery times quoted are estimates only. |
| 2.2 | If we fail to deliver within a reasonable time, you may (by informing us in writing) cancel the contract, however: |
| 2.2.1 | you may not cancel if we receive your notice after the goods have been dispatched; and |
| 2.2.2 | if you cancel the contract, you can have no further claim against us under that contract. |
| 2.3 | If you accept delivery of the goods after the estimated delivery time, it will be on the basis that you have no claim against us for delay (including indirect or consequential loss, or increase in the price of the goods). |
| 2.4 | We may deliver the goods in instalments. Each instalment is treated as a separate contract. |
| 3 | Delivery and safety |
| 3.1 | We may decline to deliver if: |
| 3.1.1 | we believe that it would be unsafe, unlawful or unreasonably difficult to do so; or |
| 3.1.2 | the premises (or the access to them) are unsuitable for our vehicle. |
| 4 | Risk |
| 4.1 | The goods are at your risk from the time of delivery. |
| 4.2 | Delivery takes place either: |
| 4.2.1 | at our premises (if you are collecting them or arranging carriage); or |
| 4.2.2 | at your premises (if we are arranging carriage). |
| 4.3 | You must inspect the goods on delivery. If any goods are damaged (or not delivered), you must write to tell us within five working days of delivery (or the expected delivery time). You must give us (and any carrier) a fair chance to inspect the damaged goods. |
| 5 | Payment terms |
| 5.1 | You are to pay us in cash or otherwise in cleared funds on receipt of our pro-forma invoice, unless you have an approved credit account. |
| 5.2 | If you have an approved credit account, payment is due no later than 14 days after the date of our invoice unless otherwise agreed in writing. |
| 5.3 | If you fail to pay us in full on the due date: |
| 5.3.1 | we may suspend or cancel future deliveries; |
| 5.3.2 | we may cancel any discount offered to you; |
| 5.3.3 | you must pay us interest at the rate set under s.6 of the Late Payment of Commercial Debts (Interest) Act 1998 |
| a | calculated (on a daily basis) from the date of our invoice until payment; |
| b | compounded on the first day of each month; and |
| c | before and after any judgment (unless a court orders otherwise); |
| 5.3.4 | we may claim fixed sum compensation from you under s.5A of that Act to cover our credit control overhead costs; and |
| 5.3.5 | we may recover (under clause 5.7) the cost of taking legal action to make you pay. |
| 5.4 | If you have an approved credit account, we may withdraw it or reduce your credit limit or bring forward your due date for payment. We may do any of those at any time without notice. |
| 5.5 | You do not have the right to set off any money you may claim from us against anything you may owe us. |
| 5.6 | While you owe money to us, we have a lien on any of your property in our possession. |
| 5.7 | You are to indemnify us in full and hold us harmless from all expenses and liabilities we may incur (directly or indirectly including financing costs and including legal costs on a full indemnity basis) following any breach by you of any of your obligations under these terms |
| 6 | Title |
| 6.1 | Until you pay all debts you may owe us: |
| 6.1 1 | all goods supplied by us remain our property; |
| 6.1.2 | you must store them so that they are clearly identifiable as our property; |
| 6.1.3 | you must insure them (against the risks for which a prudent owner would insure them) and hold the policy on trust for us; |
| 6.1.4 | you may use those goods and sell them in the ordinary course of your business, but not if: |
| a. | we revoke that right (by informing you in writing); or |
| b. | you become insolvent. |
| 6.2 | You must inform us (in writing) immediately if you become insolvent. |
| 6.3 | If your right to use and sell the goods ends you must allow us to remove the goods. |
| 6.4 | We have your permission to enter any premises where the goods may be stored: |
| 6.4.1 | at any time, to inspect them; and |
| 6.4.2 | after your right to use and sell them has ended, to remove them, using reasonable force if necessary. |
| 6.5 | Despite our retention of title to the goods, we have the right to take legal proceedings to recover the price of goods supplied should you not pay us by the due date. |
| 6.6 | You are not our agent. You have no authority to make any contract on our behalf or in our name. |
| 7 | Warranties |
| 7.1 | We warrant that the goods: |
| 7.1.1 | comply with their description on our acknowledgement of order form; and |
| 7.1.2 | are free from material defect at the time of delivery (as long as you comply with clause 7.3). |
| 7.2 | We give no other warranty (and exclude any warranty, term or condition that would otherwise be implied) as to the quality of the goods or their fitness for any purpose. |
| 7.3 | If you believe that we have delivered goods which are defective in materials or workmanship, you must: |
| 7.3.1 | inform us (in writing), with full details, as soon as possible; and |
| 7.3.2 | allow us to investigate (we may need access to your premises and product samples). |
| 7.4 | If the goods are found to be defective in material or workmanship (following our investigations, and you have complied with those conditions (in clause 7.3) in full, we will (at our option) replace the goods or refund the price. |
| 7.5 | We are not liable for any other loss or damage (including indirect or consequential loss, financial loss, loss of profits or loss of use) arising from the contract or the supply of goods or their use, even if we are negligent. |
| 7.6 | Our total liability to you (from one single cause) for damage to property caused by our negligence is limited to £1,000,000. |
| 7.7 | For all other liabilities not referred to elsewhere in these terms our liability is limited in damages to the price of the goods. |
| 7.8 | Nothing in these terms restricts or limits our liability for death or personal injury resulting from negligence. |
| 8 | Specification |
| 8.1 | If we prepare the goods in accordance with your specifications or instructions, or using your materials: |
| 8.1.1 | you must ensure that the specifications or instructions are accurate and that your materials are of good quality; |
| 8.1.2 | you must ensure that goods prepared in accordance with those specifications or instructions will be fit for the purpose for which you intend to use them; and |
| 8.1.3 | you must ensure that our use of your specifications, instructions or materials will not result in the infringement of any intellectual property rights of any other person. |
| 8.2 | If you have any intellectual property rights over the goods, you agree that you will not enforce those rights in respect of goods you order from us (even if the order is cancelled). |
| 8.3 | We reserve the right to make any changes in the specifications of our goods which are necessary to ensure they conform with any applicable safety or other statutory requirements. |
| 8.4 | We also reserve the right to make without notice any minor modifications in our specifications we think necessary or desirable. |
| 9 | Return of goods |
| 9.1 | We will accept the return of goods from you only: |
| 9.1.1 | by prior arrangement (confirmed in writing); |
| 9.1.2 | on payment of an agreed handling charge (unless the goods were defective when delivered); and |
| 9.1.3 | where the goods are as fit for sale on their return as they were on delivery. |
| 10 | Export terms |
| 10.1 | Where the goods are supplied by us to you by way of export from the United Kingdom Clause 10 of these terms applies (except to the extent that it is inconsistent with any written agreement between us). |
| 10.2 | The 'Incoterms' of the International Chamber of Commerce which are in force at the time when the contract is made apply to exports, but these terms prevail to the extent that there is any inconsistency. |
| 10.3 | Unless otherwise agreed, the goods are supplied ex works Birmingham . |
| 10.4 | Where the goods are to be sent by us to you by a route including sea transport we are under no obligation to give a notice under section 32(3) of the Sale of Goods Act 1979. |
| 10.5 | You are responsible for arranging testing and inspection of the goods at our premises before shipment (unless otherwise agreed). We are not liable for any defect in the goods which would be apparent on inspection unless a claim is made before shipment. We are not liable for any damage during transit. |
| 10.6 | We are not liable for death or personal injury arising from the use of the goods delivered in the territory of another State (within the meaning of s.26 (3) (b) Unfair Contract Terms Act 1977). |
| 11 | Cancellation |
| 11.1 | If the order is cancelled (for any reason) you are then to pay us for all stock (finished or unfinished) that we may then hold (or to which we are committed) for the order. |
| 11.2 | We may suspend or cancel the order, by written notice if: |
| 11.2.1 | you fail to pay us any money when due (under the order or otherwise); |
| 11.2.2 | you become insolvent; |
| 11.2.3 | you fail to honour your obligations under these terms. |
| 11.3 | You may not cancel the order unless we agree in writing (and clauses 2.2.2 and 11.1 then apply). |
| 12 | Waiver and variations |
| 12.1 | Any waiver or variation of these terms is binding in honour only unless: |
| 12.1.1 | made (or recorded) in writing; |
| 12.1.2 | signed on behalf of each party; and |
| 12.1.3 | expressly stating an intention to vary these terms. |
| 12.2 | All orders that you place with us will be on these terms (or any that we may issue to replace them). By placing an order with us, you are expressly waiving any printed terms you may have to the extent that they are inconsistent with our terms. |
| 13 | Force majeure |
| 13.1 | If we are unable to perform our obligations to you (or able to perform them only at unreasonable cost) because of circumstances beyond our control, we may cancel or suspend any of our obligations to you, without liability. |
| 13.2 | Examples of those circumstances include act of God, accident, explosion, fire, flood, transport delays, strikes and other industrial disputes and difficulty in obtaining supplies. |
| 14 | General |
| 14.1 | English law is applicable to any contract made under these terms. The English and Welsh courts have non-exclusive jurisdiction. |
| 14.2 | If you are more than one person, each of you has joint and several obligations under these terms. |
| 14.3 | If any of these terms are unenforceable as drafted: |
| 14.3.1 | it will not affect the enforceability of any other of these terms; and |
| 14.3.2 | if it would be enforceable if amended, it will be treated as so amended. |
| 14.4 | We may treat you as insolvent if: |
| 14.4.1 | you are unable to pay your debts as they fall due; or |
| 14.4.2 | you (or any item of your property) become the subject of: |
| a. | any formal insolvency procedure (examples of which include receivership, liquidation, administration, voluntary arrangements (including a moratorium) or bankruptcy); |
| b. | any application or proposal for any formal insolvency procedure; or |
| c. | any application, procedure or proposal overseas with similar effect or purpose. |
| 14.5 | All brochures, catalogues and other promotional materials are to be treated as illustrative only. Their contents form no part of any contract between us and you should not rely on them in entering into any contract with us. |
| 14.6 | Any notice by either of us which is to be served under these terms may be served by leaving it at or by delivering it to (by first class post or by fax) the other's registered office or principal place of business. All such notices must be signed. |
| 14.7 | No contract will create any right enforceable (by virtue of the Contracts (Rights of Third Parties) Act 1999) by any person not identified as the buyer or seller. |
| 14.8 | The only statements upon which you may rely in making the contract with us, are those made in writing by someone who is our authorised representative and either: |
| 14.8.1 | contained in our estimate (or any covering letter) and not withdrawn before the contract is made; or |
| 14.8.2 | which expressly state that you may rely on them when entering into the contract. |
| 14.9 | Nothing in these terms affects or limits our liability for fraudulent misrepresentation |

Terms for Usage of this website
Osgood Textiles Ltd is a UK based importer and as such considers all sales made via this website to be business-to-business transactions, and therefore the Distance Selling Regulations (2000) do not apply.
Every effort is made to ensure that the information held is accurate. However variations in goods delivered may occur for various reasons including:
1. Colour may not be accurately represented due to errors in the photographic representations, or variations in display settings and apparatus.
1.1 Details of delivered goods may vary due to differences at time of manufacture. This may be due to the image displayed being a 'sample' as received by the original manufacturer, shortages of original materials, or variations on handmade items. In these cases, we will ensure that the quality and style is not compromised.
1.2 Where the goods are provided in 'packs', we describe the usual pack configuration. However, due to availability, this breakdown cannot be guaranteed and small variations may occur.
Placing an order on this website is considered as an 'invitation to treat' only.
As such it is an offer made by the customer and does not constitute a contract agreement. You will be contacted within three business days to confirm the details and agree to the order including any modifications that are required due to changes in stock and/or pricing. For international customers shipping is also agreed upon at this stage. Most orders are dealt with the same working day.

Ordering Online
We have no minimum order quantity and all you need to do is create yourself a password and enter your details to start ordering. These are then saved for next time you shop with us. Ordering Online with us is safe and secure!
Placing an order on this website does not constitute a contract agreement. You will be contacted within one business day to confirm the details and agree to the order including any modifications that are required due to changes in stock and/or pricing. Most orders are dealt with the same working day
Payment
Customers are required to pay in full prior to delivery. Payment by credit/debit card only. When we receive confirmation of this payment your goods will be shipped. Alternatively you may call us and we can process your credit or debit card over the phone. Please note that we manually check each order prior to requesting payment so an overnight delay before receiving Secpay requests may occur if the order is placed at night. This enables us to ensure that all goods are examined and packed, ensuring the appropriate shipping rate is charged, this is vital for international orders.
Please note that our normal working hours are between 10am and 5pm Monday to Friday.
Shipping
Orders will normally be shipped within one business day of confirmation of payment on the order. For the UK this means an order and payment received prior to noon will usually arrive the following working day. Orders placed and paid for before Friday noon will usually be delivered the following Monday.
Where goods are "made-to-order", out of stock, or other delay occurs an expected delivery date will be given in the order confirmation. All parcels will be "signed for" delivery and will be attempted three times and a calling card left. If goods are not signed for/incorrect delivery information is given. The delivery charge will still stand on the account even if the goods are returned to us.

Refunds & Exchanges
1. Please return any unwanted items to us within 14 days of purchase.
2. All items must be returned in their original packaging, with labels still attached. They must be of excellent re-saleable condition and must not have been worn.
3. Return postage is the customers responsibility. We would advise that you use an insured delivery service as we will not be liable for any lost or damaged parcels.
4. A copy of the receipt should be enclosed in the parcel.
5. Once we receive your returned item, we will credit your account or exchange as instructed.
6. We only offer a credit note or exchange on sale items - no refunds will be given.
